Terms of Service

1. Agreement to Terms

Welcome to IQON ("we," "our," or "us"). These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and IQON, concerning your access to and use of our mobile applications (iOS and Android), SMS messaging streams, automated conversational AI Agents (via WhatsApp, Telegram, and text), and our club/facility management web consoles (collectively, the "Service").

By accessing or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Service and must discontinue use immediately.

2. Eligibility and Account Registration

To fully access the Service—whether as a player registering for events, an instructor booking training slots, or a club administrator managing locations—you must create an account.

• Age Requirements: You must be at least 13 years old (or 16 in certain jurisdictions, including the EEA) to use this Service. If you are under the age of majority in your jurisdiction, you must have permission from a parent or legal guardian to register.
• Account Accuracy: You agree to provide true, accurate, current, and complete information during registration and to keep your profile updated.
• Account Security: You are solely responsible for maintaining the confidentiality of your credentials (including security codes sent via SMS) and for all activities that occur under your account. You must notify us immediately of any unauthorized access.

3. Bookings, Schedules, and Payments

IQON functions as a global marketplace and logistics platform connecting sports players with venue facilities, court providers, leagues, and instructional coaches.

A. Billing and Stripe Infrastructure

All financial transactions executed via the iOS/Android apps, web dashboards, or text-based AI Agents are handled securely through our third-party payment processor, Stripe. By initiating a booking, tournament entry, or lesson payment, you authorize Stripe to charge your designated credit card, debit card, or mobile wallet.

B. Pricing and Platform Fees

Prices for booking courts, scheduling sessions with instructors, or enrolling in tournaments are determined directly by the respective sports facility or coach. IQON reserves the right to charge nominal platform transaction fees, which will be explicitly detailed at checkout.

C. Cancellations and Refunds

Cancellation and refund rules are set natively by the individual sports facilities, club managers, or coaches. IQON is not liable for disputes arising from a facility's weather policy, closure, or instructor cancellation. Any refund request must follow the operational policies of the specific venue or provider with whom the booking was made.

4. SMS Communications and Mobile Alerts

By signing up for IQON and verifying your phone number, you explicitly consent to receive automated operational notifications, password reset verification codes, security alerts, and conversational discussion streams directly on your device via Short Message Service (SMS).

• SMS AI Agent Discussions: The Service provides interactive, text-based AI Agent capabilities allowing you to text inquiries, book facilities, or view local schedules natively through standard SMS text channels.
• Opt-Out Protocol: You can opt out of receiving SMS communications at any time by replying STOP to any message received from IQON. Please note that opting out of SMS text functionality may limit your ability to quickly receive immediate security codes, password resets, or updates regarding immediate booking changes.
• Carrier Rates: Standard message and data rates applied by your mobile phone carrier may apply to any outbound or inbound SMS text communication with our system or automated AI Agent channels. IQON is not responsible for any mobile carrier fees incurred.

5. Interaction with AI Agents

IQON features conversational AI Agents accessible across global messaging platforms (such as WhatsApp, Telegram, and SMS text interfaces).

• Nature of AI Operations: Conversations, scheduling answers, and sports advice provided by our AI Agents are generated using automated algorithms. While we continuously refine our agents to ensure accuracy, AI responses are provided purely for convenience and transactional facilitation.
• Prohibited Inputs: You agree not to exploit, spam, or feed toxic, illegal, explicit, or copyright-infringing content into our AI Agent prompt windows or chat interfaces. We reserve the right to instantly terminate user access for attempts to compromise or bypass AI alignment boundaries.

6. Prohibited Activities

You may not access or use the Service for any purpose other than that for which we make the Service available. Prohibited activities include, but are not limited to:

• Attempting to bypass security safeguards, access AWS server infrastructure directly, or scrap data loops through malicious scripting.
• Falsifying sports credentials, skill tiers, tournament scores, or administrative identities.
• Using automated software or bots to sweep, harvest, or reserve court bookings to resell slots for commercial profit.
• Harassing, abusing, or threatening facility personnel, match opponents, or coaches through app-based text strings.

7. Intellectual Property Rights

Unless otherwise indicated, the Service, including source code, database structures, application functionality, software designs, UI layouts, AI configurations, logos, and graphics (collectively, the "Content") are owned or controlled by IQON and are protected by international copyright, trademark, and proprietary property regulations. You are granted a limited, revocable, non-transferable license to access our platform solely for personal, non-commercial sports management use.

8. Limitation of Liability and Disclaimers

Platform Hosting Availability: The Service is provided on an "AS IS" and "AS AVAILABLE" framework hosted on Amazon Web Services (AWS). We do not guarantee uninterrupted, lag-free operation or absolute stability due to dependencies on telecommunication networks, external messaging platform APIs (Meta, Telegram), and third-party data handlers.

Physical Injury & Facility Responsibility: Sports activities inherently involve physical exertion and risk of injury. IQON acts purely as a digital management software platform. We are not liable for any physical injury, property damage, scheduling conflicts, or safety incidents that occur on location at any physical sports court, complex, club, or instructional coaching session booked through the Service.

9. Termination and Account Suspension

These Terms remain in full force and effect while you use IQON. We reserve the right, without notice or liability, to deny access to and use of the Service (including blocking specific IP or phone numbers) to any user who violates these Terms, breaches carrier compliance rules, or compromises our database integrity.

10. Governing Law

These Terms and your use of the Service are governed by and construed in accordance with the laws of the jurisdiction where IQON is legally registered, without regard to its conflict of law principles. Any legal action arising under these terms shall be settled exclusively within the courts of our corporate registration.
